Overview
He counsels corporate clients on the myriad tax implications of business transactions, including acquisitions and dispositions, strategic joint ventures, private equity and capital markets transactions, restructurings, financings and workouts. He also represents clients in state and federal tax controversy matters, including audits, administrative appeals and tax litigation.
He advises private equity sponsors on tax issues in connection with the acquisition and disposition of their portfolio companies and tax matters related to fund formation and structure. Tom also counsels on the formation and operation of public and private REITs, and debt and equity offerings by public REITs.
