Overview
He frequently represents issuing banks and other companies that offer and support prepaid card and other payment programs and banks in loan transactions and purchase and sale transactions.
Prior to joining the firm, he counseled lenders and investors in tax credit transactions and provided tax advice for day-to-day business operations and on acquisitions, sales and financings.
Experience
Represents banks and service providers to banks in matters relating to prepaid cards, including drafting and negotiation of BIN transfer, program management, marketing, distribution and processing agreements.
Advises banks and service providers regarding operational agreements, including marketing, distribution and processing agreements, and consumer-facing documents, such as cardholder agreements and account agreements.
Advises bank holding companies and private investment funds in connection with capital raises and day-to-day operational matters.
Counsels clients regarding entity formation issues, including drafting of operating and shareholder agreements, as well as negotiates and drafts agreements for buyers and sellers in acquisitive transactions.
Represents lenders and borrowers in commercial loan financings.
