Selena works in corporate finance representing banks and non-depository institutions, financial services companies, tax exempt organizations, and investors.
She also serves as outside general counsel to many private businesses, assisting them with corporate matters, new partnerships, strategic ventures, and contract negotiations.
Selena handles mergers and acquisitions, debt and equity financings, and secured lending transactions. Clients seek her counsel for regulatory matters such as BSA/AML compliance and the pros and cons of various bank charter types. She assists with structuring financial investments, changes to ownership, internal reorganizations, and new business ventures.
Selena interned at the Federal Trade Commission and taught English in Hong Kong. She is a private pilot with VFR rating and ASA certified in Basic Keelboat Sailing.
Banking and Financial Services
Assists community banks in buy/sell transactions, capital raises, conversions, branch acquisitions/divestitures, shareholder matters and contract negotiations with FinTech companies, core service providers, and other vendors.
Represents a foreign non-depository institution in structuring, negotiating, and managing its financial investments with U.S. partners.
Routinely represents a bank in secured financing transactions including agricultural loans to feedlot owners, dairy farmers, and other agronomy producers.
Assisted a bank with revising its suite of customer documents to improve and streamline the onboarding experience for selecting banking services.
Assisted a money transfer services business to consolidate dozens of its wholly owned subsidiaries into a single holding company.
Serves as outside general counsel to a consumer lending company where she has assisted them in obtaining over $100 million in financing, through combinations of senior and mezzanine loans, and family and friends investment; and has guided them through multiple regulatory and licensing matters, ownership changes, and new business developments.
As outside general counsel for an international oil and gas conglomerate with 9-figure assets, implemented and managed a complicated ownership structure, ensuring that net ownership targets in dozens of entities and business ventures were met through equity arrangements and shareholder agreements.
As outside general counsel for a surface mining company with operations in several states, assists with contract negotiations to secure engineering, procurement, and construction services, water and other utilities, easements, and other business needs; and counsels the client with respect to vendor disputes and operational matters.
Advised a start-up cryptocurrency company with respect to the regulatory environment.
Advised a foreign investor with respect to its potential investment in a U.S. cryptocurrency company.
Advises foreign clients in analyzing, structuring and negotiating investments in the United States. Selena has worked with clients from Germany, Mexico, Korea, Haiti, and Kuwait and, through local counsel, has supported operations in Central America, the Middle East and Africa. Selena is uniquely suited to this role because she is a former exchange student (AFS-Hong Kong 1997-1998), taught English in Hong Kong, and has also lived abroad in South America.
