Scott's strong experience attests to his skill in corporate finance, fiercely protecting and advancing his clients' interests in the competitive marketplace. Areas of strength include agribusiness, agriculture, agricultural technology, start-ups and animal health companies in mergers and acquisitions, general corporate law and securities law compliance.


Scott's clients benefit from his strong knowledge of the financial services industry. He guided Fortune 500 corporation FCStone Group, Inc. in its merger with International Assets Holding Corporation.

Scott initially navigated FCStone through key transitional phases, including its $140 million initial public offering, $94 million secondary offering and corporate restructuring from a cooperative, with the registered issuance of $43 million of common stock upon conversion of member interests, the registered sale of $1.7 million of common stock, and the sale of $4.5 million of common stock to a newly formed ESOP.

Scott worked with Brothers Merchant Bank, representing Accelerated Care Plus Corp. in an equity infusion of $24 million in convertible preferred stock from Com Vest Group and guiding the $147 million public offering of common stock by Layne Christensen Company.

True to his farming roots in America's heartland, Scott represented a private meat processing company in its joint venture with Smithfield Foods, counseled the U.S. subsidiary of an international animal health company in acquisitions, and handled antitrust and Hart Scott Rodino issues for a large grain company.
