Overview

Andrew Arbuckle is an associate in the Kansas City office of Stinson LLP and is a member of the firm's Corporate Finance Division.

Andrew represents public and private companies in a variety of general corporate and transactional matters, including corporate governance, public and private offerings of equity and debt securities, restructurings and mergers & acquisitions. His practice has an emphasis on advising corporate directors and senior management on practical, value-maximizing strategies as well as regulatory and disclosure requirements, including Securities and Exchange Commission (SEC) and stock exchange continued listing compliance.

Andrew routinely supports clients in preparing proxy statements, earnings releases, conducting annual and special stockholder meetings, filing current and periodic reports (Forms 10-K, 10-Q and 8-K) and Section 16 reporting requirements relating to beneficial ownership and insider trading.

Prior to joining the firm, Andrew's experience ranges from ITAR and international trade compliance for a NYSE-listed global Fortune 500 aerospace and defense conglomerate, local and regional entrepreneurial ecosystem support organizations and venture capital fund management and investments.

Experience

Public Companies, Securities & Capital Markets

  • Advise NYSE-listed REIT on establishing $400 million at-the-market equity offering program and numerous forward sale agreements
  • Advise integrated transportation company specializing in rail, terminal and port, transloading and logistics services in Rule 144A / Regulation S high-yield debt offerings exceeding $1 billion, cash tender offers for outstanding notes totaling $600 million and private offerings of common and preferred equity of approximately $3 billion.
  • Advise bitcoin-native Nasdaq-listed financial services provider in its reverse stock split.
  • Advise NYSE-listed energy infrastructure corporation it its voluntary delisting and deregistration of securities to terminate Exchange Act and stock exchange continued listing disclosure obligations (i.e., "going dark").

Restructuring

  • Advise American television and radio broadcasting corporation on amend-and-extend liability management transaction restructuring a $240 million syndicated credit facility.
  • Post-bankruptcy restructuring and exit-financing for a REIT owning and operating regulated crude oil pipelines.

Mergers & Acquisitions

  • Advise Czech-based dual-listed global firearms and defense technologies manufacturer on acquisition of legacy American firearms manufacturer. 
  • Advise NYSE-listed gambling and hospitality company on acquisition of a casino and internet gambling operator.
  • Sale of a private equity national commercial landscaping services platform and numerous roll-up acquisitions of commercial landscaping firms.
