Overview

Andrew is a partner at Stinson LLP where he advises private equity sponsors, lenders, and real estate investors on complex transactions across the capital stack. With a background in commercial real estate development and finance, Andrew brings a business-oriented perspective to structuring deals that drive growth, liquidity, and long-term value.

His practice focuses on commercial finance, joint ventures, and capital markets transactions involving real estate assets and operating companies. Andrew represents agent banks and institutional lenders in asset-backed term loans, construction financing, revolving credit facilities, and syndicated credit arrangements. He also counsels private equity firms and privately held businesses on Regulation D offerings, fund formations, and strategic acquisitions and dispositions.

Andrew has led transactions involving fund platforms, private offerings, real estate joint ventures, syndicated loan transactions and distressed asset recapitalizations. Clients rely on his ability to navigate complex deal structures with clarity, speed, and precision—always aligning legal strategy with commercial objectives.

Representative Private Equity Transactions

  • Represented a sponsor in the formation of a private equity fund platform in the health care real estate space.
  • Represented an investor in multiple bilateral and programmatic real estate joint ventures ranging in size from $25 million to in excess of $500 million, including the negotiation of joint venture documents, real estate purchase and sale agreements, and related construction loan documents.
  • Represented a sponsor in joint venture negotiations for development and operation of retail real estate assets.
  • Represented a limited partner in an equity investment in a multifamily private equity real estate fund.

Representative Real Estate Transactions

  • Represented agent bank in a $64 million syndicated construction loan facility for a for-rent housing community.
  • Represented an agent bank in a $65 million syndicated construction loan facility for a multifamily residential project.
  • Represented a bank in a $50 million bilateral construction loan facility for a multifamily residential project.
  • Represented a bank in a $55 million bilateral construction loan facility for an industrial distribution center.
  • Represented a bank in multiple bilateral construction loan facilities for industrial development centers ranging in size from $35 million to $85 million.
  • Represented a bank in a $25 million revolving line of credit to a home builder.
  • Represented a bank in a $16 million construction loan facility for a multifamily residential project.
  • Represented a borrower in a $6 million "mini perm" facility for a mixed-use real estate project.

Representative Commercial Lending Transactions

  • Represented an agent bank in a $500 million syndicated revolving credit facility with a $200 million accordion and a $100 million real estate secured term loan.
  • Represented an agent bank in a $450 million syndicated revolving credit facility with a $60 million real estate secured term loan.
  • Represented an agent bank in a $200 million syndicated revolving credit facility with a $100 million accordion and a $95 million real estate secured term loan.
  • Represented multiple private credit lenders and banks in bilateral middle and lower middle market transactions ranging from $10 million to over $100 million.
  • Represented a bank in the first of its kind revolving credit facility to a crypto miner.
