Overview

TJ's practice spans the full lifecycle of real estate transactions, including acquisitions and dispositions of commercial real estate, leasing, financing, joint ventures and corporate structuring.

TJ advises owners, developers, buyers, sellers, lenders, landlords and tenants in navigating complex commercial real estate transactions from negotiations through closing. He regularly assists with purchase and sale agreements, membership agreements, construction financing, permanent financing, and build-to-suit leases or sale agreements in jurisdictions nationwide. TJ has assisted clients in the closing of more than $2 billion of commercial real estate transactions.

With more than a decade of collective experience as underwriting counsel at a major title insurance company and in private practice, TJ understands the importance of identifying potential issues before they impact a transaction. His background allows him to identify potential title, due diligence and risk allocation issues early, anticipate challenges and proactively develop practical solutions that help clients navigate deals efficiently.

TJ has assisted clients with commercial real estate transactions in all 50 states, including complex multi-site portfolio transactions involving a variety of asset classes. His experience includes transactions involving renewable energy projects including solar, wind, and battery energy storage systems (BESS), as well as commercial shopping centers, retail locations, and multi-family assets. This broad geographic and industry experience allows TJ to bring a comprehensive understanding of the considerations involved in structuring and executing real estate transactions across diverse markets.

Experience

Commercial

  • Lead real estate counsel representing Flora Food Group in its acquisition of a Kansas-based manufacturing facility out of receivership and facilitating the reopening of the plant and expansion of production.
  • Represented investor for nine-figure luxury mixed-use retail and residential development project in Austin, Texas.
  • Lead real estate counsel representing developer of the KC Current Stadium in Kansas City, Missouri.
  • Represented investor in multiple bilateral and programmatic real estate joint ventures ranging in size from $25 million to $500 million, including the negotiation of joint venture documents, real estate purchase and sale agreements, and related construction loan documents.
  • Represented sponsor in joint venture negotiations for development and operation of retail real estate assets.
  • Represented investor acquiring 29 solar sites, 18 wind sites, and 1 BESS site across 15 states.
  • Represented investor in joint venture acquisition of 21 terminal logistics facilities located across 13 states.
  • Represented developer in connection with the acquisition and redevelopment of 20 acres in the West Bottoms area of Kansas City, Missouri.
  • Lead real estate counsel for buyer in a real estate acquisition of 7 retail shopping center locations across Mississippi.
  • Represented buyer in a nine-figure acquisition of 5 retail shopping centers located across 5 different states.
  • Represented landlord of over 15 million square feet of rentable space across over 50 assets in 23 states in the leasing of retail space.

Cannabis

  • Assisted in representing Elevate Cannabis, a multi-location, vertically integrated cannabis business operator, in corporate and regulatory matters, including license acquisition.
  • Assisted in representing Elevate Cannabis in a strategic transaction that led to a favorable outcome, including a $30 million senior secured credit facility.
  • Assisted in representing Elevate Cannabis in a series of projects throughout Missouri involving rapid expansion and acquisitions, including assisting in acquiring cultivation and manufacturing licenses, cultivation and manufacturing facilities, and 17 adult-use licenses and dispensaries.
  • Assisted in representing a Missouri cannabis company in the acquisition of a vertically integrated cannabis company, holding dispensary, cultivation, and MIP licenses.
