Overview
Ralph works with clients on a broad range of transactional matters involving mergers and acquisitions, capital markets, private equity, and investment management. He brings a detail-oriented approach to each matter, helping clients navigate the legal and operational considerations involved in corporate finance matters.
Working closely with attorneys across the firm's Corporate Finance Division, Ralph supports clients through various stages of complex transactions. His experience includes assisting with the review and preparation of principal transaction documents, as well as drafting ancillary documents, preparing disclosure schedules, conducting due diligence reviews and coordinating closing deliverables.
Prior to moving to the United States, Ralph practiced law in Nigeria.
Experience
Mergers & Acquisitions
- Represented an internet service provider in connection with a $42 million asset purchase transaction involving the acquisition of substantially all of a company's telecommunications network assets.
- Represented a seller in a $12 million sale of a regional HVAC services company to a private equity-owned platform pursuing a nationwide roll-up, with consideration comprising $9 million in cash and $3 million in rollover equity.
- Represented a distributor of automotive, marine, and recreational vehicle products in its $40 million equity sale to a private equity-backed buyer, including negotiation of transaction terms and documentation.
- Represented buyers and sellers in multiple middle-market asset and stock acquisitions ranging from $50 million to $300 million across the technology, consumer products, and industrial sectors.
Capital Markets
- Represented an issuer in a $900 million hybrid junior subordinated notes offering in connection with a $2.5 billion acquisition of an energy company, including structuring, offering documentation, regulatory compliance, and closing support for a complex debt financing tied to a strategic acquisition.
- Represented an issuer in a $450 million senior note offering, including drafting and reviewing preliminary prospectus supplement, ancillary documents, and coordinating with underwriters.
- Represented an issuer in a $200 million retail junior subordinated notes offering in connection with the redemption of all outstanding cumulative redeemable perpetual preferred stock ($250 million liquidation preference), including preparation of offering documents and NYSE SLAP submission.
Securitization
- Represented the Master Servicer and Special Servicer in commercial mortgage-backed securitizations involving the issuance of commercial mortgage pass-through certificates (transaction sizes ranging from approximately $500 million to $1.5 billion.
- Represented the Master Servicer and Special Servicer in a single-family residential mortgage-backed securitization involving the issuance of pass-through certificates with an aggregate transaction size of approximately $500 million.
