Overview
Gerald assists clients in a broad array of transactions. His practice includes representing clients in commercial mortgage-backed securities (CMBS) transactions. Gerald has extensive experience representing loan servicers in negotiating and documenting various aspects of CMBS transactions, including securitization transactions, loan modifications and loan workouts. He also advises investors in connection with investments in real estate, including preferred equity investments and purchase and sale transactions. Gerald routinely represents lenders in real estate secured loan transactions, including term loans, construction loans, HUD insured loans, loan modifications and workouts. He also routinely advises landlords and tenants in lease transactions. Knowledgeable about virtually every aspect of the real estate and lending industry, his wide ranging experience allows Gerald to provide practical, efficient advice to his clients.
He also counsels corporate, institutional and individual clients in business and finance, corporate issues and business contracts.
Experience
Gerald has decades of experience with conduit lending and CMBS transactions, from documenting and closing loans for inclusion in loan securitizations, assisting loan servicers with CMBS securitizations and document loan amendments, workouts and forbearances.
Gerald guides lenders and borrowers through the intricacies of complex loan transactions such as term loan financing, warehouse financing, revolving credit facilities, bond financing and construction lending.
He helps borrowers and lenders resolve loan defaults, including forbearance agreements, foreclosures, deeds in lieu of foreclosure and loan workouts.
He assists landlords and tenants, including lease negotiations.
Gerald serves as Missouri and Kansas local counsel to assist in structuring, documenting and closing multistate lending transactions.
Gerald uses his knowledge of consumer credit regulation to help lenders with consumer lending programs, including regulatory and compliance issues and licensing matters.
