Overview

Dwight has deep experience advising contractors and owners on all aspects of complex contracts in a broad range of legal, procurement and political environments within the construction and energy industries. 

His experience over a thirty-plus-year legal career includes drafting and negotiating contracts for professional and college sports venues, data centers, hospitals, wind and solar generating facilities, battery storage projects, a large pumped-storage project, gas generation facilities, power distribution assets, and energy-savings projects. He also has considerable experience structuring cooperative agreements such as joint ventures, teaming and consortium agreements.

Dwight's practice is informed by nearly 19 years of experience serving in-house at a leading general and renewable energy contractor (including seven years as general counsel), a stint at a large industrial company, and experience working as a licensed professional engineer. His broad background allows him to provide legal advice with a wide lens that includes business, compliance, technical and reputational considerations.

  • Representation of a contractor in the negotiation of bridging design-build and construction-manager-at-risk agreements for a Major League Baseball ballpark.
  • Representation of a utility in the negotiation of two engineering, procurement and construction (EPC) agreements and two OEM agreements for a large pumped-storage project.
  • Representation of a utility in the development of a master EPC agreement for power delivery projects and reviews of multiple proposed revisions.
  • Representation of a utility in the drafting and negotiation of a construction-manager-at-risk agreement for a water pipeline project involving partial funding under an Inflation Reduction Act grant and significant federal requirements.
  • Representation of an owner in the negotiation of an EPC contract, an asset management agreement, and an operating agreement for a battery storage project.
  • Representation of an owner in the negotiation of a construction-manager-at-risk agreement for the construction of a new hospital.
  • Representation of a contractor in the negotiation of an EPC agreement for a solar generating facility.
  • Assisting a contractor in the structuring of a complex joint venture agreement.
  • Assisting a contractor with data center construction agreements.
