Amanda's practice focuses in the areas of impact-based public financing, commercial real estate and corporate transactions, with specialized experience in PACE financing and tax credit transactions.

Experience

Property Assessed Clean Energy (PACE)

Amanda represents capital providers and property owners in connection with PACE financing transactions from initial structuring through closing, including securitization of PACE assets.

Amanda has closed PACE financing deals in California, Colorado, Connecticut, Florida, Illinois, Maryland, Michigan, Minnesota, Missouri, Nebraska, New York, Pennsylvania, Rhode Island, Texas, Utah and Wisconsin and is a trusted partner in the PACE industry.

Tax Credit Financing and Impact Lending

Amanda advises tax credit participants in renewable energy tax credit transferability transactions (i.e. tax credit purchase and sale or transfer transactions) involving production tax credits and investment tax credits (ITC) stemming from clean energy projects involving wind, solar, and biogas.

Additionally, Amanda has experience in new market tax credits (NMTC) and historic rehabilitation tax credits (HTC).

She also regularly advises lenders – including community development financial institutions, nonprofits and other mission-driven organizations – and investors in a wide variety of impact lending transactions.

Real Estate & Public Finance

Amanda represents a publicly traded specialty real estate investment trust (REIT) in connection with the purchase, sale and leasing of commercial properties across the country.

She also represents lenders in the agricultural industry in connection with leasing and lending transactions across the Midwest and Southwest.

Private Business and Corporate Experience

Amanda has represented various companies in connection with acquisitions, divestitures and mergers.

She commonly assists clients in forming limited liability companies and corporations, drafting operating agreements and bylaws, and preparing a variety of other corporate governance documents.

Amanda has counseled clients with the formation of nonprofit organizations, including successfully receiving 501(c)(3) tax-exempt status with the Internal Revenue Service.
