Stinson LLP Partner Lauren Routhier authored an article for Tax Notes, "Using Qualified Small Business Stock in Succession and Estate Planning," examining how qualified small business stock (QSBS) planning is often approached primarily as an income tax strategy, while its broader implications for estate planning and business succession are frequently overlooked. She notes that recent legislative changes under the One Big Beautiful Bill Act have expanded QSBS benefits, increasing both the per-issuer exclusion cap and the scope of qualifying companies, which in turn elevates the importance of thoughtful planning.

In the article, Routhier explains that these changes make coordination among tax, corporate, and estate planning advisers more critical than ever. She highlights that when planning occurs in silos, families and closely held business owners risk not only losing tax advantages but also unintentionally complicate long-term wealth transfer and governance objectives.

Routhier also discusses how increased attention to QSBS "stacking" strategies has introduced new planning considerations for families seeking to maximize exclusions across generations. While she notes that these approaches can create significant tax efficiencies, she cautions that they may also require structural changes that affect control, flexibility, and family governance, underscoring the importance of aligning planning strategies with broader succession goals.

Routhier advises individuals, families and closely held businesses on sophisticated estate planning, tax, and succession strategies. Her practice includes business succession planning, charitable giving, prenuptial agreements, estate administration, and contested probate and trust matters.
