Los Angeles Attorneys Wippler and Kaplan Examine Measure ULA's Future in Los Angeles Daily Journal

Stinson LLP Partner Michael Wippler and attorney Alex Kaplan authored an article in the Los Angeles Daily Journal analyzing the evolving legal and regulatory landscape surrounding Los Angeles' Measure ULA and the implications for real estate owners, developers, investors and lenders.

In the article, Wippler and Kaplan explain that while a recent legislative compromise removed a ballot initiative that would have repealed the city's transfer tax, voters will still consider a constitutional amendment that could reshape how future local special taxes are approved in California. They note that although Measure ULA remains in effect, the broader legal and political landscape continues to evolve.

"Anyone advising on real estate transactions, financing, or development involving property in the City of Los Angeles must navigate an unusually fluid regulatory landscape," they wrote.

The authors also examine the practical impact the tax has had since taking effect, discussing its effect on commercial and multifamily transactions, ongoing legal challenges and recent actions by the Los Angeles City Council. They explain how new tax credit opportunities for certain affordable housing projects and proposed ballot measures could influence future development activity while leaving the current tax structure largely intact.

Looking ahead, Wippler and Kaplan encourage real estate stakeholders to account for the tax in current transactions while remaining attentive to future legislative developments. "Treat ULA's current form as durable but not static, and structure deals accordingly," they advised.

Wippler focuses his practice on business counseling, negotiating and documenting business and real estate transactions, and commercial litigation for clients across many sectors, including manufacturing, construction, automotive and energy. 

Kaplan's practice focuses on general corporate and transactional matters, including entity formation, governance, contract negotiation, and mergers and acquisitions.
