Patrick J. Respeliers

Patrick advises clients with respect to a wide range of financial transactions. He represents publicly and privately held companies in raising capital through both equity and debt offerings. He also represents both private equity funds and entrepreneurs in connection with investments in early stage companies. Patrick has substantial experience in secured lending, mergers and acquisitions, general contract drafting and negotiation, and regular reporting for publicly held corporations. Patrick is also the chair of the firm’s Securitization & Structured Finance Group and advises issuers and servicers in all aspects of mortgage and asset backed securities offerings. Prior to joining the firm in 1995, Patrick was in the Corporate Securities Group of the Dallas office of Akin, Gump, Strauss, Hauer & Feld.

Representative Experience

Patrick's practice includes the following representations:

• Lead securities attorney for Kinder Morgan Energy Partners' $1.4 billion acquisition of Santa Fe Pacific Pipeline Partners
• Representation of a New York based private equity fund specializing in the telecommunications industry
• Extensive experience in negotiating high yield debt offerings and syndicated bank credit facilities on behalf of borrowers
• Experience preparing a wide array of securities law filings, including Exchange Act periodic reports, registration statements, insider trading reports and tender offers
• Created new securitization programs (including initial shelf registration statements) for several issuers and provided representation of issuers in initial public offerings, secondary offerings and shelf-registration statements
