Overview

Jill concentrates her practice on corporate finance and mergers and acquisitions. She is known for providing leading-edge legal counsel on complex transactions for businesses in the highly regulated insurance, health care, finance, agribusiness, energy, oil and gas, and manufacturing industries. Jill serves as outside general counsel for a number of clients handling commercial contract negotiations and coordinating day-to-day legal needs.

Focused on the ever-evolving health care and insurance industries, Jill handles contract, regulatory, finance, compliance and transactional issues for health plans, property and casualty insurance companies, and third party administrators. She navigates the M&A space with ease, advising public companies on SEC compliance, governance and capital market activities and negotiating stock and asset purchases, cross-border transactions and finance vehicles and transactions that require insurance regulatory approval. Jill counsels growth and venture capital firms on equity and debt financings and helps start-up and growth companies secure funding. 

Experience

Insurance and Health Care

Jill represents numerous health care insurance companies in the upper Midwest providing regulatory, investment, and strategic joint venture and acquisition advice.

She represented Federated Mutual Insurance Company in its acquisition of Granite Re, an Oklahoma insurance company issuing surety bonds and insurance services to contractors. Jill has also represented Federated Mutual Insurance Company in numerous surplus note investments.

Jill counseled Key Surgical in its sale to Water Street Healthcare and its subsequent acquisition of Mectra Labs as well as in Water Street Healthcare's sale of Key Surgical to STERIS.

She represented Rice Memorial Hospital in its affiliation with CentraCare Health and physician group ACMC Health to create the venture Carris Health, serving West Central and Southwest Minnesota. 

Jill counseled Allianz regarding its $310 million sale of the life reinsurance business to Reinsurance Group of America, Inc. and the $140 million sale of its health products division to HCC Life Insurance Company.

Agribusiness

Jill represents Renewable Products Marketing Group, an ethanol marketing company owned by ethanol plants that produce almost 2 billion gallons annually.

She represented Guardian Energy in the acquisition of Janesville, Minnesota; Lima, Ohio; and Hankinson, North Dakota ethanol plants.

Jill represents Michael Foods, a multi-billion manufacturer of foodservice, food ingredient and retail offerings.

She represents United Sugars Corporation, an industry leading sugar supplier.

Her counsel was vital in the sale of long-time firm client, All States Ag Parts, the largest and fastest growing supplier of new, used and remanufactured tractor and combine parts in North America, to Kinderhook Industries, a private investment firm based in New York, New York.

Jill represented Sentera, an agricultural drone and data-analysis software company, in its financing capital raises.

Finance

Jill represents Enhanced Capital Partners, a national investment firm specializing in investments in small and mid-size companies.

She represents LFE Capital Funds in its portfolio investments that are primarily directed at women-owned businesses or developing products for women.

Jill represented Midcontinent Communications in several Rule 144A notes offerings.
