Tom draws on more than 30 years of experience in solving problems for a broad range of clients, from small, emerging businesses to major multinational corporations, focusing on venture capital and other private debt and equity financing, board of director and shareholder matters, and mergers and acquisitions.


Tom represents venture capital investors and venture-funded companies from initial financing through follow-on rounds of financing, development and sale in life sciences and other industries.

He advises a wide range of businesses on governance matters, including board of directors and shareholder issues and ownership disputes.

Tom has served as lead counsel on hundreds of merger and acquisition transactions in a wide variety of industries, including life sciences, insurance, professional services, food, sports equipment and auto parts.

Tom acts as "outside general counsel" for a number of clients, managing the provision of legal services by other specialists on all of his clients' legal needs, including intellectual property, employment, employee benefits, real estate, tax, and litigation.

Using alternative fee structures and strong project management, Tom has developed methods to provide efficient, high-quality services at lower and predictable costs, including more than 100 acquisition transactions for a Fortune 100 financial services company at fees based on the value of each transaction and hundreds of finance transactions for a variety of clients at fixed fees.
