With a special emphasis on providing ongoing strategic counsel to companies in the energy, construction, manufacturing, consulting and assisted living/memory care industries, Tom brings substantial experience to a broad range of complex business law matters.
Tom represents buyers and sellers in mergers, acquisitions and dispositions, issuers and investors in private securities offerings, and borrowers and lenders in secured and unsecured financings. Serving as outside general counsel, Tom regularly advises privately held companies on governance issues, debt and equity financings, ownership disputes and contractual matters.
Represented client in the sale of a privately-held manufacturing company to a U.K. listed company, for $23.5 million and up to a $4 million earn out.
Lead counsel on development loan closing for 2,100 MW HVDC transmission project.
Represented client in the acquisition and bank and HUD acquisition financing of 7 memory care facilities in Minnesota.
Tom has significant project finance experience and has served as counsel for power plant development consortia as well as other joint ventures and alliances.
He represented an architecture firm in a 100 percent Employee Stock Ownership Plan redemption transaction and related senior secured loan transaction.
He represented a developer and manufacturer of "smart" refrigeration controllers in two exchange offers and related private placement transactions.
He represented an energy information management services company in the asset sale of two of its cloud-based software applications.
He helped a Swiss-based client acquire the assets of its Canadian distributor, the assets of a marine and land-based desalination company and a business specializing in freeze-dried and dehydrated instant meals.
Representing a national tax and consulting firm, he assisted in numerous acquisitions of non-attest accounting practices and the divestiture of its human capital services division.
He represented a prepaid financial products client in $6.9 million Series A preferred stock financing and $13.6 million senior secured financing.
Among numerous energy sector deals he’s handled, he helped the owner sell a 110-million-gallon-per-year biofuels facility in Arthur, Iowa, represented a minority owner in a $32.2 million sale of a wind tower business and helped another client acquire a 50 percent equity ownership in a 593 megawatt dual-fired, combined-cycle power generating facility.
Tom represented the project consortia for two natural gas-fired electric generation projects.
He represented a contractor in a $487 million biofuels project financing, including $15 million equity investment by the same client.
He represented the selling shareholder in a biofuels initial public offering.
He represented a client in the $35 million private stock sale of a biofuels company.
He helped clients with financing and Section 1603 cash grant matters in connection with the development of wind farm and biogas projects.
Tom helped a client make a $25 million equity investment in a 100-megawatt biomass project and handled other legal matters in connection with $500 million project financing of the project.
He handled a $23 million senior secured bridge loan to a wind developer and a mezzanine loan transaction in connection with a 20-megawatt wind farm in Minnesota.
