Nick is known to his clients as an experienced mergers and acquisitions attorney and negotiator who offers practical, prompt, and precise business-focused client service.


Nick regularly advises public and private companies in domestic and cross-border mergers and acquisitions, joint ventures, and capital markets and other financing transactions. He also counsels clients regarding corporate governance matters and securities filings under the Securities and Exchange Act of 1934.

Nick has represented market- and industry-leading strategies along with private equity firms and their portfolio companies in connection with numerous complex business and securities transactional matters. He has advised on deals in a diverse range of industries, with extensive transaction experience in the agribusiness, technology, healthcare services, and energy industries.

  • Archer-Daniels-Midland Company’s (NYSE) GrainBridge joint venture with Cargill, Incorporated, intending to provide grain marketing decision support, e-commerce and account management software for North American farmers
  • WholeStone Farms' acquisition of Hormel Foods Corporation's (NYSE) largest pork processing plant and related assets, which produces meat products including Spam, bacon, pepperoni, pork sausages and lunch meat
  • Mitsui & Co., Ltd.’s acquisition of a controlling interest in Consorcio Agroindustrias del Norte, S.A.P.I. de C.V., and its wholly owned subsidiary, Nueva Agroindustrias del Norte, S.A. de C.V., a leading wholesale distribution business of animal feeds, fertilizers, agricultural chemicals, and other farm supplies in Mexico
  • CVR Refining LP’s (NYSE) acquisition of pipeline and related assets and joint venture with Plains All American Pipeline, L.P. (NYSE)
  • Archer-Daniels-Midland Company’s (NYSE) $127.5 million sale of ADM Crop Risk Services, Inc., a primary crop insurance company, to an affiliate of Validus Holdings, Ltd. (NYSE)
  • Seaboard Corporation’s (NYSE) and its wholly owned and consolidated subsidiaries’ $148 million acquisition from Christensen Farms & Feedlots of hog inventories and farms, and related feed mills
  • Fortune Brands Home & Security, Inc.’s (NYSE) $300 million acquisition, through its wholly owned subsidiary, MasterBrand Cabinets, Inc., of Woodcrafters Home Products Holding, LLC
  • Transactions for Koch Industries, Inc. and its affiliates, including Georgia-Pacific, Flints Hills Resources, Guardian Industries, Koch Minerals, and Molex
  • Cerner Corporation’s (Nasdaq) $1.3 billion acquisition of Siemens Health Services
  • A leveraged buy-out by a private equity fund of a leading regional agricultural and energy equipment distributor

Capital Markets:

  • $1.1 billion in offerings of senior debt by H&R Block, Inc. (NYSE) and its $1.5 billion "Dutch Auction" tender offer for shares of its common stock
  • $2.4 billion in offerings of common and preferred equity and senior debt by EPR Properties (NYSE)
  • 144A offering of convertible senior debt of more than $400 million by Euronet Worldwide, Inc. (Nasdaq)

Fund Investment Transactions:

  • Representation of private equity firms regarding investments, governance, and fund formation, including representation of a co-founder of a $1 billion plus private equity fund with respect to corporate transactional and governance matters
  • Representation of institutional limited partners regarding fund investments and subscriptions
