Michael helps companies mitigate risk, resolve disputes and capitalize on opportunities. His breadth of knowledge in business, management/operations, technology, consulting and real estate allows him to meet the needs of businesses in all stages.
Business clients rely on Michael to act as general counsel and help them coordinate M&A strategies, finalize real estate transactions, negotiate many different types of agreements, manage litigation and handle legal issues and disputes related to their businesses. Michael leverages his extensive professional network to connect clients with providers for non-legal matters such as lending, wealth management, international sourcing and complex tax and accounting issues.
Michael has acted as lead attorney on numerous acquisition and sale transactions, assisting on multiple sale transactions for private (non-publicly traded) companies, assisting with rollups and add-on acquisitions, drafting and negotiating definitive agreements and managing complex transactions to closing.
For established businesses, Michael has drafted, reviewed and negotiated hundreds of types of agreements.
He has performed legal audits to identify areas of risk and the need for policies, disclosures or other company actions. Michael assists business entities with registering as a foreign corporation, registering to do business, assessing whether such registrations were required and analyzing doing-business-as qualifications.
He performs local counsel searches for international business transactions and expansion, and assists with myriad agreements involving parties from other countries, including but not limited to employment agreements, distribution agreements, service and supply agreements, software license agreements, reseller agreements, referral agreements and data protection agreements – to name a few.
He has represented multiple FDA regulated Fortune 500 companies in connection with various matters, including regulatory matters, distribution channels, financial matters and various international transactions.
He has extensive experience in real estate matters representing owners, brokers, agents, leasing agents, developers and investors.
He has comprehensive experience in assisting debtors as well as creditors related to bankruptcy filings, reorganizations and receiverships. He has advised clients through spin-offs and reorganizations and represented them in various types of financial disputes.
He has earned several designations in real estate and business, including the Credential of Readiness Certificate through Harvard Business School.
For startups, Michael has helped with entity formation, renewal and reinstatement. He’s created buy-sell agreements, shareholder agreements and member control agreements. He has helped with capital raising/financing work, dealing with investment bankers and investors.
