Overview

Primarily focused on the energy industry, Kate has in-depth knowledge of the legal issues related to renewable and traditional energy project development and operations. She uses her experience in this area to provide insightful counsel to independent power producers, developers, utilities, equipment manufacturers, energy-related service providers, investors and financiers.

Kate holds leadership positions in Stinson's diversity and inclusion, mentoring, and associate development programs and is an active volunteer on pro bono matters, representing indigent clients on immigration matters and children in foster care.

  • Kate represented a medical supply company in a restructuring and $74.5 million sale to a private equity firm.
  • She represented a railroad in a $214.5 million sale of a line running from New York to Pennsylvania to another railroad.
  • She represented a professional services firm in a 100 percent ESOP redemption transaction and related $4 million senior secured loan transaction.
  • She represented a software company in a $10.5 million sale to a technology company.
  • Kate represented an agricultural equipment supplier in a $40 million sale to a private equity firm.
  • She frequently negotiates and documents commercial contracts, including services contracts, vendor agreements, manufacturing agreements and distribution agreements.
  • She advises clients on business formation, structure and governance.

Energy

  • Kate represented a developer in the tax equity and debt financing of 35+ solar projects in North Carolina, Connecticut, California, Florida, Massachusetts and Minnesota.
  • She represented a tax equity investor on energy project documents and regulatory issues in connection with the investment in 20+ solar projects in New York, Maryland, Missouri and California.
  • She represented a public utility in connection with the issuance and sale of over $1 billion of first mortgage bonds.
  • Kate represented an energy information management services company in the asset sale of two of its cloud based software applications.
  • Kate also negotiates and documents energy project contracts, including EPC and other construction contracts, power purchase agreements, energy storage agreements, operation and maintenance agreements, and subscription agreements.
