John focuses his practice on assisting public and privately held companies as well as private equity funds in mergers, acquisitions and other strategic transactions.

Overview

John’s practice covers a wide variety of industries including energy, medical devices, life sciences and manufacturing. He also regularly advises clients on entity formation and a variety of general corporate and business issues.

Experience

John has valuable experience representing both buyers and sellers in merger and acquisition transactions, including negotiation and drafting of merger, asset purchase and membership interest purchase agreements, negotiating and drafting ancillary agreements and managing due diligence review.

He has represented investors and companies in equity and debt finance transactions, including drafting private placement memoranda, stockholder agreements, buy-sell agreements, warrants and other related documents.

John also represents parties to joint ventures, including negotiation and drafting of LLC, LP agreements and related agreements.

He advises publicly traded companies regarding reporting requirements including proxy statements, 10-Ks, 10-Qs, 8-Ks and other filings.

John also drafts and negotiates licenses, distribution, services and other commercial agreements.
