Overview

Jim has experience in a wide range of commercial transactions: mergers, acquisitions, sales, business structures and governance, commercial contracts (including distribution, franchise and supply arrangements), and corporate financings.  His practice emphasizes joint ventures and strategic alliances involving both public and private companies and transactions of local, national and international scope.

Jim has extensive experience and involvement in the agribusiness and cannabis industries, and with respect to venture capital transactions and the formation and growth of emerging companies. 

Jim also has extensive experience with nonprofit and tax-exempt organizations, as legal counsel and as a Board member and in other advisory capacities. Jim's experience includes advising these clients from initial formation through the entire life cycle of such organizations, with particular focus on structure, governance documents, policies and practices, and operations. He has extensive experience in a wide range of transactions that relate to nonprofit as well as for-profit organizations.

Jim has presented seminar programs and written numerous works involving limited liability companies, partnerships, joint ventures and strategic alliances, as well as nonprofit, tax-exempt organizations.
