Inchan represents clients in U.S. and international business law matters, with an emphasis on corporate finance and capital markets transactions, corporate governance and securities law compliance, and mergers and acquisitions.

Overview

Inchan represents private and public companies in domestic and cross-border mergers and acquisitions, securities transactions and corporate governance. He advises private and publicly-traded companies operating in the U.S., Japan, Korea, Australia, Canada and Mexico in manufacturing, medical devices, higher education, telecommunications and agriculture. For M&A transactions, Inchan also regularly advises clients on reportability and interpretations of the Hart-Scott-Rodino Antitrust Improvements Act and its regulations.

In addition to handling foundational corporate transactions, Inchan represents clients in IPOs, secondary public offerings and seed and venture financings involving U.S. and foreign markets and investors. Fluent in Korean and Japanese, he brings knowledge of Asian markets and practical business experience from his previous employment with a major automobile manufacturer.

Represented a privately-held for-profit higher education institution in its merger with a publicly held special purpose acquisition company (SPAC)

Represented a privately-held language translation services company in a reverse merger with a publicly held shell company

Represented privately-held automobile repair and human resources staffing companies in restructuring of their ownership through cash-out mergers of all existing shareholders and replacement of its credit facilities with senior debt and sub debt vehicles

Represented a privately-held food products manufacturer and distributor with its sale by cash-merger to a private equity fund

Represented a privately-held electrical products manufacturer and distributor in its merger with a competing electrical products manufacturer, involving the integration of two

Represented an ESOP-owned manufacturer and distributor of industrial screening products in a stock sale transaction to a competing products manufacturer, and its private-equity parent

Represented a major Farm Credit association in the purchase and sale of assets of ethanol plants out of bankruptcy
