Overview

Ben is a sought-after tax advisor and litigator. He has extensive experience with state and federal tax issues with an emphasis on partnership taxation issues, corporate acquisitions, closely held businesses and corporate tax planning. Ben also counsels clients regarding the tax compliance issues of real estate investment trusts (REITS) and real estate mortgage investment conduits.

Ben’s clients benefit from his significant tax planning and tax controversy experience at federal and state levels, both in administrative action and litigation. He has experience with tax-deferred reorganizations, like kind exchanges, and multistate apportionment issues. As chairman of the Tax Practice Group, Ben deploys resources to favorably resolve even the most complex tax issues.

Experience

Ben served as acquirer’s tax counsel in the $2 billion merger of two publically traded limited partnerships in the oil and gas industry.

Ben has extensive experience with and knowledge of partnership income taxation, and represents individuals and companies when planning, forming and granting equity interests in limited liability companies, partnerships, joint ventures, S corporations and other flow-through entities.

He has advised numerous clients on the tax implications of real estate transactions, including simultaneous and deferred like-kind exchanges and debt workouts.

Ben advises on the tax implications of corporate transactions, including tax-deferred reorganizations, split-offs, recapitalizations and public offerings.
