Stinson Leonard Street Helps Guide Client Through Acquisition

Press ReleaseTransaction Caps Decade-long Relationship
A team of Stinson Leonard Street attorneys recently helped one of the firm’s long-standing clients – AllRegs – negotiate and close a friendly transaction in which the company was acquired by another company. The deal, which closed on October 1, resulted in AllRegs, a leading information provider for the mortgage industry, being acquired by publicly traded Ellie Mae (NYSE:ELLI), a leading provider of innovative, on-demand software solutions and services for the residential mortgage industry.

AllRegs, which is a dba of Mortgage Resource Center Inc., provides education and training, loan product and guideline data and analytics to more than 3,000 companies covering every facet of mortgage banking, including major lenders and investors, regulators, federal and state agencies, brokers, mortgage services vendors and law firms. Its extensive content library of regulations and investor guidelines is relied upon by virtually all of the top 100 U.S. lenders.

The transaction positions Ellie Mae as the leading source of mortgage management technology, investor guidelines, compliance resources and education to help lenders achieve compliance, loan quality and efficiency. Ellie Mae and AllRegs have integrated their management teams and are retaining all AllRegs employees and locations.

“We’ve been honored to have worked with AllRegs for more than a decade,” said Stinson Leonard Street partner David Ezrilov. “Our engagement has included a full range of legal services from trust and estate planning to general corporate matters and, most recently, pre-sale planning and preparation as well as mergers and acquisitions assistance. This sort of long-term relationship is a framework that benefits both clients and law firms because we get to know the client over the full range of its activities and through the prism of its strategic plans. That depth of knowledge and perspective greatly improves the effectiveness of our service to our clients.”

In addition to Ezrilov, other Stinson Leonard Street attorneys assisted in the pre-sale preparation, negotiations and closing of the transaction. Anne Cotter worked on general corporate and merger and acquisition matters, Angela Bohmann advised the company on benefits questions, Richard Pins addressed employment matters, and David Axtell and Ruth Rivard helped guide the company through questions related to intellectual property and technology.
