Steve Quinlivan and Bryan Pitko Publish Article in Harvard Law School Forum on Corporate Governance and Financial Regulation
Stinson LLP attorneys Steve Quinlivan and Bryan Pitko authored an article published today by the Harvard Law School Forum on Corporate Governance and Financial Regulation regarding "test-the-waters" communications.
The article analyzes new proposed rules regarding these communications by the SEC. The proposed rule would ease some of the current regulatory burdens on such communications and allow all companies exploring whether to go public to discuss plans privately with potential investors before announcing an initial public offering. Under the current rules, the SEC only allows smaller, emerging companies to take this action.
Steve counsels primarily on mergers and acquisitions, REITs, sports law, securities and international transactions and financing matters. He has significant experiences with SEC reporting matters and frequently provides counsel to boards of directors in corporate governance, compliance matters and liability related issues.
Bryan has extensive knowledge of federal securities laws and reporting requirements for public companies, public and private offerings of equity and debt securities, and mergers and acquisitions. Before joining the firm, Bryan was an attorney with the Division of Corporation Finance at the SEC in Washington, DC.
