Her practice focuses on representation of financial institutions, including national and state banks, bank holding companies and federal thrifts. She represents clients in mergers and acquisitions, reorganizations, conversions, branch sales, stock offerings and other transactions. In addition, she counsels clients on a variety of corporate, regulatory and compliance matters. Selena's general corporate experience includes drafting letters of intent, stock and asset purchase agreements, merger agreements, employment contracts, shareholder agreements, non-competition agreements and organizational documents for corporations, partnerships and limited liability companies |

Relevant Experience |
- Financial Institution Transactions. Experience in mergers, stock purchase agreements, asset purchase and assumption agreements, conversions, branch sales, financing transactions, issuance of bank holding company securities, reverse stock splits and corporate reorganizations.
- Financial Institution Regulation and Enforcement. Represents clients before the Federal Reserve, OCC, FDIC, OTS and state bank regulators regarding applications, charter conversions, banking powers, FDIC insurance determinations and various compliance issues. Advises financial institutions on compliance with federal laws and regulations, including the Bank Holding Company Act, Federal Deposit Insurance Act, Gramm-Leach-Bliley Act, Home Owners Loan Act, Bank Secrecy Act, Fair Credit Reporting Act, Fair and Accurate Credit Transactions Act, Fair Debt Collection Practices Act, Change in Bank Control Act and Regulation Y, affiliate transactions and Regulation W, insider loans and Regulation O, Identity Theft Red Flag Programs, consumer privacy issues, and federal preemption of state laws and regulations.
- General Corporate Representation. Experience in corporate formation, maintenance and dissolution, non-competition and non-solicitation agreements, employment and consulting agreements, federal and state regulatory compliance, corporate governance issues and corporate procedures.
- Legal Opinions. Due diligence review of organizational documents, shareholder records, real property mortgages and deeds of trust and other documents for legal opinion letters.
