He has represented privately- and publicly-held companies in corporate acquisitions, dispositions and mergers, as well as public and private placements of securities. He has counseled public companies and their boards with respect to strategic alternatives, fiduciary duties, conflict-of-interest transactions, financing, acquisitions and divestitures, and executive compensation, retention and termination. T.J. has extensive experience with preparation of filings under the Securities Exchange Act of 1934, and securities law compliance in general, and he has counseled several public companies with respect to corporate governance matters.
