Scot practices in the firm’s General Business Division. He focuses primarily on mergers, acquisitions and divestitures. He also has extensive experience in the areas of executive employment arrangements, joint ventures, and general corporate and contracting work.

He is chair of the firm’s Biofuels practice group, and former chair of the firm's Corporate Counseling practice group.

Representative Experience

Transactions relating to the acquisition and divestiture of numerous private and public companies in various regulated and unregulated industries
Represented buyers and sellers in such diverse businesses as retail propane, natural gas storage and pipelines, consumer money transfer services, title insurance, banking, hockey equipment manufacturing, animal care and pet treat products, cement manufacturing and grain elevators
Represented a public company client in its purchase of a natural gas storage facility valued at $725 million
Represented a public company client in a $1.65 billion hostile bid for another public consumer money transfer company
Represented a public company client in its purchase of the world’s third largest consumer money transfer company for $500 million
Represented a public company client in its purchase of another publicly-traded propane company valued at $480 million
Employment agreements and separation agreements on behalf of both employers and senior executives
Negotiating and drafting complex commercial agreements used in many industries (e.g., agricultural commodities, energy commodities such as ethanol and biodiesel, and service provider agreements)
Various joint venture arrangements and outsourcing agreements (including those covered under RESPA), with particular expertise in the use of limited liability companies
Organizing various legal entities and assisting clients in choice-of-entity issues
