Kenda Tomes is the Chair of the firm's Securitization & Structured Finance group. Kenda represents several servicers and special servicers in connection with U.S. and Canadian structured finance transactions, including private and public transactions and the negotiation of the related pooling and servicing agreements.

Kenda also has significant experience representing special servicers in connection with complex loan modifications, workouts, foreclosures and other asset management and servicing issues. Kenda also provides legal advice to her clients in connection with other commercial loan servicing transactions and servicing rights acquisitions.

Kenda also represents a wide range of publicly and privately held companies assisting them with all manners of corporate legal advice, including public and private offerings, securities law compliance, corporate governance compliance, joint venture and consulting arrangements, contract negotiations, mergers and acquisitions, financing transactions, spin-offs and other business matters.

Representative Experience

Extensive experience with structured finance transactions including representing Midland Loan Services, CWCapital Assets Management and Capital Trust in connection with its duties as servicer or special servicer of commercial and multi-family mortgage loans and other commercial investment vehicles, including representing such entities in connection with Freddie Mac securitizations, acquisitions of servicing rights related to GNMA pools and other servicing transactions for Fannie Mae and other governmental agencies.
Public and private offerings of equity, such as several offerings of debt instruments and interests in oil and gas limited liability companies.

Ms. Tomes is the Chair of the firm's Securitization & Structured Finance Group and is the Chair of the Mortgage Bankers Association REMIC Task Force. Ms. Tomes is involved in the CREFC effort to standardize servicer and special servicer provisions of structure finance agreements.
