Katherine serves as counsel to numerous financial institutions and bank, savings and loan and financial holding companies. She has experience in bank regulatory matters, bank and bank holding company mergers and acquisitions, branch acquisitions, issuance of bank and bank holding company securities, interstate banking issues, reorganizations and commercial lending. Katherine has extensive experience representing publicly-traded and privately owned bank holding companies, state-chartered and national banks, federal savings associations, credit unions, and REITs in both transactional and regulatory matters. Katherine has been involved in the formation of numerous banks and bank holding companies. She has assisted banks in the acquisition and sales of branches, bank mergers, the issuance of bank and bank holding company securities and the issuance of trust preferred securities. Katherine’s general corporate experience includes drafting stock and asset purchase agreements, loan agreements, employment contracts, shareholder agreements, merger agreements, letters of intent and operating agreements. In addition, Katherine also has experience in the ongoing reporting obligations of publicly-held companies under the Securities Exchange Act of 1934, including the preparation of proxy statements, annual and quarterly reports, annual reports to stockholders and Section 16 transaction reports. She is a member of the firm's Financial Services Division.
