Karen is a member of the firm's Banking & Financial Services Division. Her practice focuses on financial institution regulatory and operations matters, business transactions and general business law. She works with financial institutions and their holding companies as well as non-bank financial services companies. Her financial institutions practice includes the acquisition and sale of banks, thrifts and other financial services companies, and the acquisition or establishment of nonbanking businesses by financial institutions. Karen has worked on behalf of financial institutions and other companies with state and federal regulators on many matters, ranging from lending limits to branching to the limits of banking powers to consumer protection issues. In her regulatory practice, Karen has also represented banks and bank boards of directors in the resolution of supervisory and enforcement matters, and in addressing capital needs.
Karen has significant experience working with financial institutions, trade associations and other financial and non-financial businesses regarding payment systems, such as ACH transactions, check processing, prepaid cards, debit cards and credit cards. She has extensive experience with payments-related matters in connection with the delivery of consumer directed healthcare products and services. She has also worked with financial companies on managing third party risks.
As in-house counsel and outside counsel, Karen has frequently worked with clients on product development, focusing on legal and compliance issues surrounding new products and services. Some of the products she has helped bring to market include Internet-based products, cash management products, credit and debit cards, payroll and prepaid cards, and a variety of consumer financial products. Her practice includes payment systems, consumer protection regulatory matters, unclaimed property privacy and data security matters.
