Jim has more than 20 years of experience in mergers and acquisitions (M&A), securities transactions and general corporate law. He provides securities representation to both public and private companies. Jim’s representation of public companies has included registered securities offerings and compliance with periodic reporting requirements under securities laws. He also represents both investors and entrepreneurs with respect to private equity investments.

Representative Experience

Extensive representation of public companies in registered offerings and periodic reporting compliance, including Euronet Worldwide Inc. (NASDAQ), Garmin Ltd. (NASDAQ), NIC Inc. (NASDAQ), CEC Entertainment, Inc. (NYSE), The Management Network Group, Inc. (NASDAQ) and NPC International, Inc.
Representation of public company clients with respect to public and private offerings of equity and debt securities, including:
- Representation of Euronet Worldwide Inc. in $160 million private placement of common stock, $175 million private placement of 3.5% Convertible Debentures due 2025, $140 million private placement of 1.625% Convertible Senior Debentures due 2024, and registered resales of such securities.
- Representation of Quest Energy Partners L.P. in its public offering.
- Representation of LabOne Inc. in $100 million initial private placement of 3.5% Convertible Senior Debentures and private placement of preferred stock and warrants to Welsh, Carson, Anderson & Stowe, and registered resales of such securities.
- Representation of Watco Companies, L.L.C. in private placement of preferred equity to Kinder Morgan Rail Services, LLC.
- Representation of Quest Resource Corporation in $200 million private placement of common stock, and registered resales of such securities.
Representation of public and private company clients with respect to mergers, acquisitions and divestitures, including:
- Securities representation of Euronet Worldwide Inc. in its $500 million acquisition of RIA Envia Inc., and representation of Euronet in its $165 million bid for MoneyGram International Inc.
- Representation of Garmin Ltd. in acquisitions of Digital Cyclone Inc. and Nautamatic Marine Systems Inc., and Tri-Tronics, Inc.
- Representation of NPC International, Inc. in its sale to Merrill Lynch Global Private Equity for $615 million.
- Representation of LabOne Inc. in its sale to Quest Diagnostics Inc. for $934 million.
- Representation of Employers Reinsurance Corporation, as a subsidiary of General Electric Company, in the acquisition of the life reinsurance division of American United Life Insurance Company, and the sale of ERC Life Reinsurance Corporation to Scottish Re for $150 million.
- Representation of Kansas City Life Insurance Company in the acquisition of GuideOne Life Insurance Company.
- Representation of LabOne Inc. in the acquisitions of the Northwest Drug Testing esoteric drug testing division, the clinical testing division of The Health Alliance of Greater Cincinnati, and the clinical testing division of Hays Medical Center.
Extensive experience in venture capital investments representing both entrepreneurs and investors.
