Craig is a partner in the Corporate Finance Division who brings significant experience in the areas of mergers and acquisitions involving public and private companies, public and exempt offerings of securities, securities law compliance, technology-driven joint ventures, strategic alliances and corporate governance. He has drafted and negotiated asset and stock acquisitions, mergers, auctions, tender offers, divestitures, spin-offs, joint ventures, strategic alliances and investments. Craig represents clients with respect to going-private transactions, offerings of common and preferred stock, debt securities and convertible securities. He has counseled public and private companies and their boards of directors with respect to fiduciary duty issues arising in the context of mergers and acquisitions, implementing takeover defense plans for public companies, standstill agreements and special charter and bylaw provisions and responses to takeover threats and unsolicited stock accumulations. Craig has particular experience in the energy industry, representing oil and gas producers, midstream companies and refining and marketing companies.
